1. Acceptance of Terms
These Terms of Service ("Terms") are a binding legal agreement between you ("you," "User") and Samurai Fox, Inc., a Delaware corporation ("Samurai Fox," "we," "us," or "our"), governing your access to and use of our websites, mobile applications, APIs, AI agents, telephony services, and any related products or services (collectively, the "Service"). By creating an account, submitting a case, initiating a call, or otherwise using the Service, you represent that you are at least 18 years old, have full legal capacity to enter into this agreement, and accept these Terms in full. If you do not agree, do not use the Service.
2. What Samurai Fox Is — and Is Not
Samurai Fox is a technology platform that uses artificial intelligence to help consumers communicate with merchants, vendors, service providers, and other counterparties ("Vendors") regarding billing disputes, refunds, cancellations, customer-service issues, and similar matters. We are not a law firm, attorney, accountant, financial advisor, tax preparer, debt collector, credit-repair organization, or licensed professional of any kind. Nothing we provide constitutes legal, financial, tax, accounting, or professional advice, and no attorney-client, fiduciary, or other professional relationship is created by your use of the Service. You are solely responsible for evaluating the appropriateness of any communication, position, or outcome and for seeking independent professional advice when warranted.
3. Authorization and Limited Power of Attorney
When you submit a case, you grant Samurai Fox and its AI agents, employees, contractors, and service providers a limited, revocable, non-exclusive authorization to act as your communications agent for the sole purpose of contacting Vendors on your behalf in connection with that case. This authorization includes the right to: (a) place and receive phone calls, send and receive SMS messages, and send and receive emails identifying you as the account holder; (b) state facts you have provided to us; (c) request refunds, credits, cancellations, retention offers, or other remedies; (d) negotiate within parameters you set; and (e) record, store, and transcribe communications to the extent permitted by law. You represent and warrant that all information you submit is true and that you have authority to authorize action with respect to each account or transaction involved. You may revoke this authorization at any time by closing your case in the dashboard or emailing us; revocation is prospective only.
4. Call Recording and Communications Consent
You acknowledge and consent that calls, SMS messages, emails, and chat communications conducted through the Service may be recorded, transcribed, monitored, and stored for quality, training, dispute, and compliance purposes. Where applicable law requires notice to or consent from the other party to a call, you authorize Samurai Fox to provide such notice on your behalf at the start of the call. You agree to receive communications from us (including transactional, account, and case-status messages) at the phone number and email address you provide. Standard message and data rates may apply.
5. No Guarantee of Outcome
Outcomes depend on the Vendor, the underlying facts, applicable contracts, and many factors outside our control. Samurai Fox makes no guarantee, warranty, or representation that any case will succeed, that any refund or credit will be obtained, that any specific amount will be recovered, or that any communication will achieve a particular result. Past results do not predict future outcomes.
6. AI-Generated Content
The Service uses large language models and other AI systems that can produce inaccurate, incomplete, or misleading output. You are responsible for reviewing all AI-generated drafts, summaries, and statements before authorizing them. By authorizing the Service to act, you accept the risk inherent in automated communications and agree that Samurai Fox is not liable for errors, omissions, hallucinations, or mischaracterizations produced by AI components, except to the extent caused by our gross negligence or willful misconduct.
7. Acceptable Use
You agree not to use the Service to: (a) submit false, fraudulent, or misleading information; (b) pursue any matter you know to be without merit; (c) harass, threaten, defame, or discriminate against any person; (d) violate any law, regulation, contract, or third-party right, including consumer-protection, telemarketing, recording-consent, or debt-collection laws; (e) attempt to reverse-engineer, scrape, circumvent rate limits, or interfere with the Service; or (f) resell, sublicense, or use the Service to provide services to third parties without our written consent. We may suspend or terminate your access at any time, with or without notice, for any actual or suspected violation.
8. Fees, Plans, and Contingency
Pricing for subscription plans and contingency fees (e.g., a percentage of amounts recovered) is shown on our pricing page and may be updated from time to time. You authorize us to charge your payment method for all applicable fees, including recurring subscription charges and any contingency owed when a recovery is obtained as a result of the Service. Contingency is earned when the Vendor commits to the refund, credit, or other monetary remedy, regardless of when funds settle. Fees are non-refundable except where required by law. We may change pricing on notice; continued use after the effective date constitutes acceptance.
9. Intellectual Property
Samurai Fox and its licensors retain all right, title, and interest in and to the Service, including all software, models, prompts, designs, trademarks, and content we create. You retain ownership of the case facts and materials you submit ("User Content"), and you grant Samurai Fox a worldwide, royalty-free, sublicensable license to host, process, transmit, display, transcribe, summarize, and use User Content as needed to operate, improve, secure, and develop the Service, including training and evaluation of our models in de-identified or aggregated form.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. SAMURAI FOX DOES NOT WARRANT THAT THE SERVICE WILL ACHIEVE ANY PARTICULAR RESULT OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR FREE OF DEFECTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAMURAI FOX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE AMOUNTS YOU PAID TO SAMURAI FOX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE PARTIES ACKNOWLEDGE THAT THESE LIMITATIONS ARE A MATERIAL BASIS OF THIS AGREEMENT.
12. Indemnification
You agree to defend, indemnify, and hold harmless Samurai Fox and its affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content; (b) your authorization for us to act on your behalf; (c) your violation of these Terms or any applicable law; or (d) your infringement of any third-party right.
13. Governing Law; Forum
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to Section 14, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, and waive any objection to such jurisdiction or venue.
14. Binding Arbitration; Class Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, except for claims for injunctive relief to protect intellectual property, will be resolved by final and binding arbitration administered by JAMS in New York, New York, before a single arbitrator, under the JAMS Streamlined Arbitration Rules. You and Samurai Fox each waive any right to a jury trial and to participate in a class, collective, or representative action. If this class-waiver provision is held unenforceable, then the entirety of this Section 14 will be void, and the dispute will proceed in the courts identified in Section 13.
15. Changes to the Service or Terms
We may modify the Service or these Terms at any time. Material changes will be communicated by email or in-product notice. Your continued use after the effective date constitutes acceptance. If you do not agree, your sole remedy is to stop using the Service and close your account.
16. Termination
You may stop using the Service at any time. We may suspend or terminate your account at our discretion, with or without cause or notice. Sections that by their nature should survive termination will survive, including Sections 5, 6, 9–14, and 17.
17. Miscellaneous
These Terms, together with the Privacy Policy, Authorizations, and Disclaimers referenced on our site, constitute the entire agreement between you and Samurai Fox regarding the Service. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign freely. Notices to us must be sent to legal@samuraifox.ai.
